DEFINITIONS

The following definitions shall apply unless the context otherwise requires:

“Affiliate” means any entity that directly or indirectly controls or is controlled by, or is under common control with, another entity.

“Application” means the online entry form for the Competition completed and submitted by an Applicant.

“Application Window” means the period commencing from March 16, 2026, to April 20, 2026, when Applications can be submitted.

“Business” refers to a profit-driven endeavor that has been ongoing for a minimum of three (3) years at the time of application. This can include entities registered as a company, sole proprietorship, partnership, or any other legal structure. The applicant must directly or indirectly own more than 50% of the voting or ownership rights in the business or entity.;

“Competition” or “UGH2026” means The UpGreyed Her 2026 Initiative;

“The Company” means Grey Inc.

“Immediate Family Members” means a person's closest relatives which includes but not limited to spouse, children, siblings or parents, step parents, step siblings or any relation determined by the Company not be eligible to apply for the competition.

TERMS AND CONDITIONS

Please read these Terms and Conditions carefully before submitting your application.

By submitting an Application, all Applicants agree to be bound by these terms and conditions.

The Company reserves the right to modify, remove, replace, or amend any part of these Terms & Conditions without prior notice. It is the responsibility of all applicants and competition participants to stay informed about any changes to the Terms and Conditions. The company will not be liable for any loss incurred by an applicant or competition participant due to changes in the Terms and Conditions, including any failure to comply with them or complete any tasks under the Competition due to such change.

Eligibility

All applications must pertain to a business idea or a business which must be for profit, focusing on a single business area only. Additionally, the idea must be original to the applicant.

The Business or Business Idea must not involve any illegal, fraudulent, or unethical activities. This includes, but is not limited to, activities that:

• Violate any applicable local, national, or international laws, regulations, or industry standards.
• Involve fraud, misrepresentation, money laundering, or any form of financial crime.
• Promote or facilitate bribery, corruption, terrorism, or any other criminal conduct.
• Exploit or endanger vulnerable individuals, including but not limited to child labor, human trafficking, or unfair labor practices.
• Engage in deceptive or misleading business practices that could harm consumers, investors, or the public.
• Promote hate speech, discrimination, or any activities that infringe on the rights and dignity of individuals or groups.
• Cause significant environmental harm or violate sustainability and corporate social responsibility standards.

The applicant shall ensure that all business activities remain compliant with legal and ethical requirements, and any breach of this clause shall be grounds for disqualification from the Competition. The following categories of persons are not eligible to apply:

Employees from Grey, affiliates of Grey and their Immediate Family Members either individually or as part of a Business.

Businesses that have previously won the grant are not eligible to apply.

Employees of companies affiliated with Grey who have been involved in the creation or administration of the Competition and their Immediate Family Members.

The Company’s consultants, agents, vendors, partners, and affiliated companies with Grey ( including their employees and immediate family members) who are involved in the creation and administration of this competition.

Research institutions, faith-based organisations, government agencies, and Businesses not located in countries where Grey operates will not be eligible to apply for the Competition.

Application

Applications for the Competition shall open on March 16, 2026, and close at 9.00 am (Pacific time) on April 20, 2026 (the “Application Window”).

Applicants must complete an online entry form by answering a series of mandatory questions and uploading the required documents (including identification documents).

Upon submission of the Application, an email confirming receipt will be sent to the Applicant within 24 hours of submission of an application  Once submitted, Applications cannot be altered or amended.

Only applications submitted during the Application Window will be considered. An applicant will not be granted an extension of the application deadline, nor will they be able to make any claims due to corruption, defects, failures, or delays in the delivery of emails, texts, or any other form of communication to or from the Company. Applicants are not required to make any purchase or payment to access UGH2026, submit an application, or become eligible for the Competition. To clarify, the Competition does not cover any personal costs that are not explicitly stated in these Terms and Conditions.

The Company prohibits the use of third parties to represent,  provide assistance, or support Applicants in any stage of the Competition, nor to carry out any tasks assigned to applicants.

Each applicant is allowed to submit only one application for a single Business Idea or Business.

All applications must be submitted directly by the applicant responsible for creating or forming the business idea or venture intended for participation in the competition.

The Applicants are responsible for ensuring they are able to participate in the Competition as set out in these Terms & Conditions. They must also (in the case of companies/partnerships/co-ownerships/joint ventures) provide proof of consent from partners, directors and shareholders for their participation as representatives of a Business.

The following Applications shall be rejected and not considered:

• Multiple applications by the same Applicant whether using the same or different names, email addresses, Business Idea or Business.
• Applications made using methods such as a macro, script, automated devices or processors or other forms of digital tools to gain an unfair advantage;
• Bulk and third-party entries;
• Incomplete and incorrect applications;
• Applications which contain illegal or unethical Businesses or Business Ideas or Business Ventures;
• Applications not made in line with any of the Competition requirements;
• Applications which, in the reasonable opinion of the Company, are deemed to be franchises, import/export businesses or government contractors;
• Applications which contain any content that is likely to be considered offensive by the Company or could reflect negatively on the name, reputation, or goodwill of the Company, its partners or entities associated with the Company, its partners and other parties acting on its behalf;
• Applications which include trademarks, logos, or copyrighted material or any intellectual property work or invention not owned by the Applicant or used without the right holder’s prior written permission (including famous names, company names, etc.);
• An application which defames, misrepresents, or insults third parties;
• Promotes adverse risks to the environment, human lives, or property promotes or is directly involved in political campaigning, lobbying, partisan activities or religious activity;
• Are affiliated with terrorists or other illegal activity.

Applicants are responsible for verifying their eligibility based on their citizenship. Applications from countries where Grey does not operate will be deemed ineligible and rejected outrightly by the Company.

The Company accepts no responsibility for late, lost, misdirected, damaged or delayed Applications as a result of any network, computer hardware or software failure of any kind.

The Company reserves the right to verify the validity of entries and to disqualify any Applicant for tampering with the entry process.

By applying, Applicants acknowledge that other Applicants may have created ideas and concepts that may be similar to their entry. Therefore, Applicants will not be entitled to any compensation or right to negotiate with the Company over such matters.

Removal and Disqualification

The Company reserves the right, in its absolute discretion, to disqualify any Competition Participant at any point during the Competition, without granting any opportunity for challenge, if it has reasonable grounds to believe that:

• The Application was made in breach of any applicable law or the Application rules and/or process;
• The Competition Participant has experienced a change of circumstance resulting in loss of eligibility to participate in the Competition;
• The Application was made fraudulently or contains any false or misleading statement;
• The Competition Participant is found to have enlisted a third party to assist with participation in any of the Competition stages or carry out any assigned task;
• The Application was for a Business Idea or Business that the Applicant had no applicable rights, licenses, authorisations and consent to implement or operate;
• The Competition Participant has infringed on any intellectual property of any other person;
• The Competition Participant’s conduct prior to or during the Competition (which the Company becomes aware of during the Competition) has, in the opinion of the Company, brought or is likely to bring the Competition or the Company into disrepute;
• The Competition Participant has, prior to or during the Competition acted fraudulently in any business dealing, conduct or representation;
• It is in the interest of the continued credibility of the Competition and the Company to disqualify such Competition Participants;
• There has been a breach of any of the Terms & Conditions which the Company considers material;
• The Competition Participant has failed to participate in other monitoring and evaluation activities, including providing periodic reports as required;;
• The Business or Business Idea is illegal, or the implementation of the same would violate any applicable law; or The Competition Participant has violated any anti-bribery, anti-terrorism and/or money laundering laws or regulations or has provided resources or support or promoted any individual or organization that is in violation of such laws or regulations or otherwise supports or promotes violence, terrorist activity or related training, or money laundering or uses or has used any portion of the funds provided by the Foundation for any such activity.

**A disqualified Competition Participant shall be deemed not to have participated in the Competition. The consequences of disqualification shall be as follows:**Ineligible to reapply for future competition cycles or participate in any of Grey’s competitions, regardless of using the same business name or a different one..

• Prohibition from using the name of the company, the Founder, the management, or staff of the Company in any correspondence in relation to having been selected for the Competition.
• Prohibition from referring to oneself as a ‘UGH Applicant’ or ‘UGH winner’ as applicable, verbally or in any written communication.
• Removal from UGH2026.
• Ineligibility for any further funding that may be available as part of the Competition.

All Disqualified Participants shall be so marked in the Company’s records.

Communication

Communication with Applicants and Competition Participants regarding Competition updates and announcements shall primarily be by email to the email address provided on the Application form and via Grey Socials—Instagram (@greyfinance), Twitter (@greyfinance), LinkedIn (Greyfinance), and Facebook (Greyfinance). The Company may also choose to contact Applicants and Competition Participants by phone but is not obliged to.

Applicants and Competition Participants are strongly advised to store the relevant Company’s contact details within their email address books. This action will mitigate the potential for important communication to be inadvertently directed to spam folders. The Company shall not be held responsible for any unseen emails or for any email communication’s reliability, timeliness, or non-receipt.

Competition Participants must provide current and functional correspondence addresses, email and telephone numbers and keep the Company informed of any changes.

The Company will not be responsible for or get involved in any team dispute resolution. It shall communicate only with the Successful Applicant as the person authorised to represent a team or Business until it receives an instruction from authorised representatives nominating a different person.

Competition Participants are expected to proactively engage with the Company (without imposing work commitments) in marketing and communications activities to amplify their experience throughout the Competition.

Publicity & Privacy

By applying for, and participating in the Competition, Applicants and Competition Participants respectively consent to have:

• details of their Application and participation, other than commercially sensitive information, featured in any media or promotional activity being carried out by the Company for the Competition; and
• details of the partner-funded Competition Participants, such as Business Plan or pitching presentation or videos shared with the UGH Partners.
• non-sensitive personal data about their businesses, such as the name, location, and gender of the owner, shared with the Company’s partners, affiliates, and subsidiaries.

This permission is granted in accordance with the terms and conditions stipulated in this agreement and in compliance with all applicable data protection and privacy laws and regulations.

The Company will contact Competition Participants in advance of any media request for interviews relating to participating in the Competition.

Les Participants au Concours acceptent de participer à toute publicité raisonnable organisée par la Société (par exemple, séances photo, vidéos et interviews) et renoncent à leurs droits sur toute image, enregistrement audio ou vidéo d'eux-mêmes réalisé suite à leur candidature ou participation au Concours ou à de telles activités promotionnelles. La Société sera en droit d'utiliser toutes ces photographies, films, enregistrements audio, vidéo ou autres, sur tout support, y compris numérique, électronique, imprimé, télévisuel, cinématographique, radiophonique ou autre, dans le cadre de la promotion du Concours, de la Société ou de ses filiales. Si nécessaire, la Société pourra exiger des Participants au Concours une renonciation signée aux droits à l'image en complément de cette renonciation. La Société pourra inviter les Participants au Concours à prendre part à des activités promotionnelles aux frais de la Société.

Les Participants au Concours et les Entrepreneurs Sélectionnés ne sont pas autorisés à s'exprimer ou à écrire publiquement sur le fonctionnement interne des processus de la Société, ni à prétendre connaître les raisons pour lesquelles la Société les a présélectionnés, sélectionnés et soutenus.

Le nom, le pays et le profil de chaque Candidat seront mis à disposition à des fins de relations publiques à l'échelle mondiale. Chaque individu sera invité à fournir un profil et une photo une fois qu'il aura rejoint le Concours, et ceux-ci seront publiés sur les réseaux sociaux de Grey, ainsi que sur le site web public de la Société.

Confidentialité

Le Candidat s'engage à maintenir une stricte confidentialité concernant toute information exclusive, sensible ou non publique (« Informations Confidentielles ») reçue pendant ou en relation avec le Concours ou la Société. Le Candidat ne divulguera, ne partagera ni n'utilisera ces Informations Confidentielles à d'autres fins que la participation au concours, sans le consentement écrit préalable de la Société.

Le Candidat prendra toutes les mesures raisonnables pour protéger la confidentialité de ces informations et ne les partagera pas avec des tiers, sauf si la loi l'exige. Cette obligation survivra à la conclusion du concours, que le Candidat soit sélectionné ou non comme gagnant.

Responsabilité

La Société et tout représentant agissant en son nom ne seront pas responsables de tout dommage, perte ou préjudice subi par un Candidat participant au Concours..

Si, pour quelque raison que ce soit, le Concours ne peut se dérouler comme prévu, la Société se réserve le droit d'annuler, de mettre fin, de modifier ou de suspendre le Concours. La Société ne sera pas responsable du non-respect du Concours conformément aux présentes Conditions Générales ou de toute perte résultant de la modification, de la suspension ou de l'annulation du Concours (y compris le non-paiement des prix) et s'efforcera de communiquer tout changement ou annulation dans les plus brefs délais.

La Société n'assume aucune responsabilité pour les dommages, pertes ou blessures résultant de la participation à ce Concours ou de l'acceptation d'y prendre part.

Généralités

Un accès à Internet est requis pour le processus de candidature.

La Société se réserve le droit de vérifier la citoyenneté des Candidats et de disqualifier tout Candidat qui n'est pas citoyen d'un pays où Grey opère. La décision de Grey concernant l'éligibilité des pays est finale et contraignante.

La Société a le droit et la discrétion de déroger à l'application de l'une quelconque de ces Conditions Générales si elle le juge approprié.
