

The following definitions shall apply unless the context otherwise requires:
“Affiliate” means any entity that directly or indirectly controls or is controlled by, or is under common control with, another entity.
“Application” means the online entry form for the Competition completed and submitted by an Applicant.
“Application Window” means the period commencing from March 16, 2026, to April 20, 2026, when Applications can be submitted.
“Business” refers to a profit-driven endeavor that has been ongoing for a minimum of three (3) years at the time of application. This can include entities registered as a company, sole proprietorship, partnership, or any other legal structure. The applicant must directly or indirectly own more than 50% of the voting or ownership rights in the business or entity.;
“Competition” or “UGH2026” means The UpGreyed Her 2026 Initiative;
“The Company” means Grey Inc.
“Immediate Family Members” means a person's closest relatives which includes but not limited to spouse, children, siblings or parents, step parents, step siblings or any relation determined by the Company not be eligible to apply for the competition.

By submitting an Application, all Applicants agree to be bound by these terms and conditions.
The Company reserves the right to modify, remove, replace, or amend any part of these Terms & Conditions without prior notice. It is the responsibility of all applicants and competition participants to stay informed about any changes to the Terms and Conditions. The company will not be liable for any loss incurred by an applicant or competition participant due to changes in the Terms and Conditions, including any failure to comply with them or complete any tasks under the Competition due to such change.

All applications must pertain to a business idea or a business which must be for profit, focusing on a single business area only. Additionally, the idea must be original to the applicant.
The Business or Business Idea must not involve any illegal, fraudulent, or unethical activities. This includes, but is not limited to, activities that:
The applicant shall ensure that all business activities remain compliant with legal and ethical requirements, and any breach of this clause shall be grounds for disqualification from the Competition. The following categories of persons are not eligible to apply:
Employees from Grey, affiliates of Grey and their Immediate Family Members either individually or as part of a Business.
Businesses that have previously won the grant are not eligible to apply.
Employees of companies affiliated with Grey who have been involved in the creation or administration of the Competition and their Immediate Family Members.
The Company’s consultants, agents, vendors, partners, and affiliated companies with Grey ( including their employees and immediate family members) who are involved in the creation and administration of this competition.
Research institutions, faith-based organisations, government agencies, and Businesses not located in countries where Grey operates will not be eligible to apply for the Competition.
Applications for the Competition shall open on March 16, 2026, and close at 9.00 am (Pacific time) on April 20, 2026 (the “Application Window”).
Applicants must complete an online entry form by answering a series of mandatory questions and uploading the required documents (including identification documents).
Upon submission of the Application, an email confirming receipt will be sent to the Applicant within 24 hours of submission of an application Once submitted, Applications cannot be altered or amended.
Only applications submitted during the Application Window will be considered. An applicant will not be granted an extension of the application deadline, nor will they be able to make any claims due to corruption, defects, failures, or delays in the delivery of emails, texts, or any other form of communication to or from the Company. Applicants are not required to make any purchase or payment to access UGH2026, submit an application, or become eligible for the Competition. To clarify, the Competition does not cover any personal costs that are not explicitly stated in these Terms and Conditions.
The Company prohibits the use of third parties to represent, provide assistance, or support Applicants in any stage of the Competition, nor to carry out any tasks assigned to applicants.
Each applicant is allowed to submit only one application for a single Business Idea or Business.
All applications must be submitted directly by the applicant responsible for creating or forming the business idea or venture intended for participation in the competition.
The Applicants are responsible for ensuring they are able to participate in the Competition as set out in these Terms & Conditions. They must also (in the case of companies/partnerships/co-ownerships/joint ventures) provide proof of consent from partners, directors and shareholders for their participation as representatives of a Business.
The following Applications shall be rejected and not considered:
Applicants are responsible for verifying their eligibility based on their citizenship. Applications from countries where Grey does not operate will be deemed ineligible and rejected outrightly by the Company.
The Company accepts no responsibility for late, lost, misdirected, damaged or delayed Applications as a result of any network, computer hardware or software failure of any kind.
The Company reserves the right to verify the validity of entries and to disqualify any Applicant for tampering with the entry process.
By applying, Applicants acknowledge that other Applicants may have created ideas and concepts that may be similar to their entry. Therefore, Applicants will not be entitled to any compensation or right to negotiate with the Company over such matters.
The Company reserves the right, in its absolute discretion, to disqualify any Competition Participant at any point during the Competition, without granting any opportunity for challenge, if it has reasonable grounds to believe that:
**A disqualified Competition Participant shall be deemed not to have participated in the Competition. The consequences of disqualification shall be as follows:**Ineligible to reapply for future competition cycles or participate in any of Grey’s competitions, regardless of using the same business name or a different one..
All Disqualified Participants shall be so marked in the Company’s records.
Communication with Applicants and Competition Participants regarding Competition updates and announcements shall primarily be by email to the email address provided on the Application form and via Grey Socials—Instagram (@greyfinance), Twitter (@greyfinance), LinkedIn (Greyfinance), and Facebook (Greyfinance). The Company may also choose to contact Applicants and Competition Participants by phone but is not obliged to.
Applicants and Competition Participants are strongly advised to store the relevant Company’s contact details within their email address books. This action will mitigate the potential for important communication to be inadvertently directed to spam folders. The Company shall not be held responsible for any unseen emails or for any email communication’s reliability, timeliness, or non-receipt.
Competition Participants must provide current and functional correspondence addresses, email and telephone numbers and keep the Company informed of any changes.
The Company will not be responsible for or get involved in any team dispute resolution. It shall communicate only with the Successful Applicant as the person authorised to represent a team or Business until it receives an instruction from authorised representatives nominating a different person.
Competition Participants are expected to proactively engage with the Company (without imposing work commitments) in marketing and communications activities to amplify their experience throughout the Competition.
By applying for, and participating in the Competition, Applicants and Competition Participants respectively consent to have:
This permission is granted in accordance with the terms and conditions stipulated in this agreement and in compliance with all applicable data protection and privacy laws and regulations.
The Company will contact Competition Participants in advance of any media request for interviews relating to participating in the Competition.

Competition Participants agree to participate in any reasonable publicity arranged by the Company e.g. photo shoots, videos and interviews and waive their rights to any images, audio or video recording of themselves taken as a result of applying or participating in the Competition or such promotional activities. The Company shall be entitled to use all such photographs, films, audio, video or other recording in any medium including digital, electronic, print, television, film, radio or other media in furtherance of promotion of the Competition or the Company or its affiliates. Where necessary, the Company may require a signed image rights waiver from Competition Participants in furtherance of this waiver. The Company may invite Competition Participants to take part in promotional activities at the Company’s expense.
Competition Participants and Selected Entrepreneurs are not permitted to speak or write publicly about the internal workings of the processes of the Company or to purport to be knowledgeable of the reasons why the Company has shortlisted, selected and supported them.
The name, country and profile of each Applicant will be made available for public relations purposes globally. Each individual will be asked to provide a profile and photo once they join the Competition and this will be held on the Grey’s Socials, as well as the Company’s public website.
The Applicant agrees to maintain strict confidentiality regarding any proprietary, sensitive, or non-public information (“Confidential Information”) received during or in connection with the Competition or the Company. The Applicant shall not disclose, share, or use such Confidential Information for any purpose other than participating in the competition, without prior written consent from the Company.
The Applicant shall take all reasonable steps to protect the confidentiality of such information and shall not share it with third parties, except as required by law. This obligation shall survive the conclusion of the competition, regardless of whether the Applicant is selected as a winner.
The Company and any representative acting on its behalf shall not be liable for any damage, loss, or injury incurred by any Applicant participating in the Competition..
If for any reason the Competition is not capable of running as planned for any reason, the Company reserves the right to cancel, terminate, modify or suspend the Competition. The Company shall not be liable for failure to implement the Competition in accordance with these Terms & Conditions or for any loss arising from modification, suspension or cancellation of the Competition (including failure to pay Prize money) and shall endeavour to communicate any changes or cancellations at the earliest possible opportunity.
The Company assumes no responsibility for damages, losses or injuries that result from participation in this Competition or acceptance to be part of the Competition.
Internet access is required for the Application process.
The Company reserves the right to verify the citizenship of Applicants and disqualify any Applicant who is not a citizen of a country where Grey operates. Grey’s decision on the eligibility of countries is final and binding.
The Company has the right and discretion to waive the application of any of these Terms & Conditions as it may deem fit.
This Competition is governed by the laws of the State of Delaware, United States of America and Applicants submit to the exclusive jurisdiction of the Courts in Delaware.
